These Terms of Service ("Terms") govern your use of the Neighborly Studio website and the services we provide. By engaging us or using this site, you agree to these Terms.
1. Our services
Neighborly Studio provides website design and development, AI chatbot setup and automation, and logo and brand identity services for restaurants and local businesses. The specific scope, deliverables, timeline, and price for your project will be described in a written proposal or quote.
2. Quotes and proposals
Quotes are estimates based on the information you provide. If the project scope changes, we'll discuss any impact on price and timeline before proceeding. A quote is not a binding contract until both parties confirm it in writing.
3. Payment terms
- Unless otherwise agreed, projects require a deposit before work begins, with the balance due on completion.
- Invoices are payable within the period stated on the invoice.
- Recurring services (such as chatbot hosting or maintenance) are billed on the agreed schedule.
4. Client responsibilities
To keep your project on track, you agree to provide the content, access, feedback, and approvals we need in a timely manner. Delays in providing these may affect the timeline.
5. Revisions and approval
Each project includes a reasonable number of revision rounds as described in your proposal. Additional revisions beyond that scope may be billed separately. Once you approve a deliverable, it is considered final.
6. Intellectual property
Upon receipt of full payment, ownership of the final deliverables created specifically for you transfers to you. We may retain the right to display the work in our portfolio. Third-party assets (fonts, stock images, plugins, AI platforms) remain subject to their own licenses.
7. Third-party services
Some deliverables rely on third-party platforms (for example, hosting providers, AI/chatbot APIs, or payment processors). We are not responsible for changes, outages, or pricing of those third-party services.
8. Warranties and limitation of liability
We provide our services with reasonable skill and care. To the fullest extent permitted by law, our total liability for any claim arising out of our services is limited to the amount you paid us for the work giving rise to the claim. We are not liable for indirect or consequential losses.
9. Termination
Either party may end an engagement in writing. If you terminate after work has begun, you remain responsible for payment for work completed up to that point. Deposits are handled per our Refund Policy.
10. Governing law
These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules.
